Valmet Oyj: Notification according to Chapter 9, Section 5 of the Finnish Securities Markets Act: Solidium Oy ownership in Valmet decreased to below 10 percent

Valmet Oyj (“Valmet”) has on April 1, 2022 received the following notification from Solidium Oy, pursuant to the Finnish Securities Markets Act (as amended, the “SMA”), stating that Solidium Oy’s ownership and share of votes in Valmet has fallen below the threshold of 10 percent on April 1, 2022. The reason for the notification was an event changing the breakdown of shares or voting rights.
Valmet and Neles Corporation (“Neles”) announced on July 2, 2021, that Valmet and Neles will merge in a statutory absorption merger whereby Neles will be merged into Valmet. Valmet announced today on April 1, 2022, that the completion of the merger and the new shares in Valmet to be issued as merger consideration to Neles' shareholders have today been registered in the Finnish Trade Register. As a result of the aforementioned registration of the merger and the new shares, the share of Solidium's shares and voting rights in Valmet has fallen below the threshold of 10 percent as referred to in Chapter 9, Section 5 of the SMA.
Valmet has one series of shares in which each share carries one vote. The aggregate number of shares is 184,529,605.
