Decisions of the Annual General Meeting of Metso Corporation

Metso Corporation's Annual General Meeting was held today in Helsinki, Finland. The AGM approved the Financial Statements for 2012 and discharged the members of the Board of Directors and the President and CEO from liability for the 2012 financial year. The Annual General Meeting also approved the proposals of the Board of Directors to authorize the Board to decide on the repurchase of Metso shares, amend the Articles of Association, and establish a Shareholders' Nomination Board. The Annual General Meeting decided that a dividend of EUR 1.85 per share will be paid for the financial year ending on December 31, 2012. The dividend will be paid to shareholders who are registered as shareholders in the company's shareholder register maintained by Euroclear Finland Ltd. on the record date, April 4, 2013. The dividend will be paid on April 11, 2013. The Annual General Meeting confirmed the number of Board members as eight and elected Jukka Viinanen as Chairman of the Board and Mikael von Frenckell as Vice Chairman. Mikael Lilius was elected as a new Board member and Christer Gardell, Ozey K. Horton, Jr, Erkki Pehu-Lehtonen, Pia Rudengren, and Eeva Sipilä were re- elected for a new term. The term of office of Board members will last until the end of the next AGM. The Annual General Meeting decided the following annual remuneration for Board members: EUR 100,000 for the Chairman, EUR 60,000 for the Vice Chairman and for the Chairman of the Audit Committee, and EUR 48,000 for members. In addition, a meeting fee of EUR 700 will be paid to members resident in the Nordic countries, EUR 1,400 to members resident elsewhere in Europe, and EUR 2,800 to members resident outside of Europe for each meeting they attend, including committee meetings. The AGM also decided that, as a condition for receiving their annual remuneration, the members of the Board of Directors will be obliged, based on the AGM's decision, to use 40% of their fixed annual remuneration for purchasing Metso Corporation shares from the market at a price formed in public trading and that such purchases shall be carried out within two weeks following the publication of the interim review for January 1, 2013 to March 31, 2013. Authorized Public Accountant Ernst & Young Oy was elected to act as the company's Auditor until the end of the next Annual General Meeting.
